Colorado is changing how it enforces the existing requirement that out-of-state nonprofits file a Statement of Foreign Entity Authority (SOFEA) before a charitable registration or renewal can be approved. Starting with the 2026 charitable registration and renewal cycle, the Colorado Secretary of State will verify that a SOFEA is on file as a prerequisite to approving charitable registrations for out-of-state organizations. This step is referred to as “corporate registration” or “foreign qualification,” which indicates that your organization is authorized to operate in the state. Without it, your registration could be delayed or rejected.
What This Means for Your Organization
Corporate registration and charitable solicitation registration are two separate filings. Corporate registration enables your nonprofit to operate legally in Colorado. Charitable solicitation registration enables your nonprofit to solicit donations and conduct fundraising campaigns.
When these filings are completed in the correct order, your organization can begin fundraising with confidence, knowing you are meeting Colorado’s regulatory requirements and maintaining good standing.
