Nevada Charitable Organization Registration

Agency: Nevada Secretary of State

Law:   NRS 82A.100

Foreign Qualification is Prerequisite:  No

Registered Agent (Special Agency) Required? No

Registration to Obtain Exemption

Exemption Eligible Organizations:

  • Requests for contributions, donations, gifts, or the like, which are directed only to a total of fewer than 15 persons, annually
  • Requests for contributions, donations, gifts, or the like, are directed only to persons who are related within the third degree of consanguinity of affinity to the officers, directors, trustees or executive personnel of the corporation
  • Corporation is recognized as a church under the Internal Revenue Code, section 501(c)(3)
  • Appeals for funds to benefit a particular person or his or her immediate family named in the solicitation, but only if all the proceeds of the solicitation are given to or expended for the direct benefit of the person or his or her immediate family
  • Alumni association of an accredited institution which solicits only persons who have an established affiliation with the institution, including, without limitation, current and former students, members of the faculty or staff, or persons who are within the third degree of consanguinity or affinity of such persons
  • Form:  Exemption from Charitable Solicitation Registration Statement or Exemption from Charitable Solicitation Registration Statement for Out-of-State Charitable Organizations Not Required to Register to Do Business in Nevada

    Renewal to Maintain Exemption

    Exemption Eligible Organizations:

    Notes:

  • Attach additional pages for addresses and names/addresses of executive personnel.
  • Must be signed by an officer of the nonprofit corporation.
  • Out of state charities can file out of state version of the solicitation registration statement to avoid foreign qualification.
  • Some Nevada counties and municipalities may require charities that solicit in-person to register prior to fundraising.

    All Applicants:

  • Check the available exemptions to see if your charity is eligible for exemption from the full registration requirement.

  • - How to Apply -

    Domestic Applicants:

    1. File entity formation documents with the Nevada Secretary of State.

    2. Submit a Charitable Solicitation Registration Statement in conjunction with your initial list of officers filing to the Nevada Secretary of State.


    Foreign Applicants:

    1. Determine whether or not your charity will need to foreign qualify based on your activity in Nevada. If not required, skip to number 3.

    2. File foreign qualification documents with the Nevada Secretary of State.

    3. Submit a Charitable Solicitation Registration Statement in conjunction with your initial list of officers filing to the Nevada Secretary of State.

    Registration Renewal

    Form:   Charitable Solicitation Registration Statement

    Filing Method:   Mail, e-mail, fax, or online.

    Agency Fee:  $0

    Due: Renewal is due annually at the same time as your Nevada Nonprofit Annual List of Officers Report. If your organization does not file an annual list of officers report, then renewal is due by the end of the anniversary month of the initial filing. 

    Due Date Extension:Nevada does not grant extensions for charitable organization registration.

  • Attach additional pages for addresses and names/addresses of executive personnel.
  • Must be signed by an officer of the nonprofit corporation.

    Nevada Commercial Co-Venturer Registration

    NOT REQUIRED

    Commercial Co-venturer licensure is not required on the State level in Nevada.

    Nevada does not currently have a traditional registration requirement for commercial co-venturers, but they may need to follow other regulations before and after fundraising events.

    Nevada Fundraising Counsel Registration

    NOT REQUIRED

    Fundraising Counsel licensure is not required on the State level in Nevada.

    Nevada does not currently have a traditional registration requirement for fundraising counsels, but they may need to follow other regulations before and after fundraising events.


    Nevada Professional Fundraiser Registration

    NOT REQUIRED

    Professional Fundraiser licensure is not required on the State level in Nevada.

    Nevada does not currently have a traditional registration requirement for professional fundraisers, but they may need to follow other regulations before and after fundraising events.


    Nevada Individual Professional Fundraiser Registration

    NOT REQUIRED

    Professional Solicitor licensure is not required on the State level in Nevada.

    Solicitors who are not employed by a professional fundraising firm but operate independently may be required to register. Employees of professional fundraising firms are generally not required to register as an individual solicitor in Nevada.

    Nevada Charitable Gift Annuity Registration

    Agency:  Nevada Division of Insurance

    Law:   NRS § 688A.281 through NRS § 688A.285

    Organization Age Requirement: 3 years of continuous existence immediately preceding licensure.

    Minimum Unrestricted Cash or Cash Equivalent Requirement:  $300,000

    Initial Registration

    Notes:   Nevada charities must provide notice within 90 days of when they first enter into a charitable gift annuity agreement. Notices must identify the organization, certify that the organization is a charity and that the annuities issued are qualified charitable gift annuities, and be signed by an officer or director.
